2. Definitions
- Directory: the NexysDirectory website, its town editions, search, mobile pages and any copy of its content that we make for search engines and AI assistants.
- Listing: the page about your business, including text, products, hours, contact details, map pin, logo, photos, blog posts, testimonials and charity section.
- You / the Business: the business being listed and the person who registers it.
- We / us: Nexys (Pty) Ltd trading as NexysCloud.
- Content: anything you upload or type into the Directory.
3. The listing is free, and we never invoice for it
3.1 A standard listing is free, now and for as long as the Directory runs. We do not send invoices, renewal notices or "confirm your listing" forms that lead to a charge. 3.2 If you receive any invoice or demand for a listing fee, it is not from us. Phone us at the number in clause 1 and we will help you report it. 3.3 We may offer optional paid services (clause 13). Nothing becomes payable unless you sign a separate agreement for it.
4. Who may register
4.1 You must be 18 or older and authorised to act for the business (owner, director, member, manager, or a person they have appointed in writing). 4.2 One listing per trading location. A business with branches in more than one town registers each branch. 4.3 We may ask for proof of authority (a phone call to the business number, an SMS or WhatsApp code, a letterhead, or a CIPC document). We may decline or remove a listing we cannot verify.
5. Your account
5.1 Registration creates a login for your business. Keep the password and sign-in links private. You are responsible for everything done through your login. 5.2 Tell us at once if you think someone else has used your login. 5.3 You may add other people from your business as editors. They are bound by these terms, and you are responsible for what they do.
6. Accuracy and the three-monthly update
6.1 You warrant that the information in your listing is true, current and not misleading. 6.2 Every three months we email the registered email address a copy of the listing with two buttons: "Everything is still correct" and "Update". This email is part of running a listing; it is administrative, not marketing, and you cannot opt out of it while the listing is live. 6.3 If a listing is not confirmed or edited for 12 months, we may mark it "details may be out of date". If the email address bounces and we cannot reach the business by phone, we may hide the listing until it is confirmed. 6.4 We may correct obvious errors (a wrong postal code, a broken link) and will tell you when we do.
7. Licence to publish your content
7.1 You keep ownership of your content. 7.2 You give us a free, non-exclusive, worldwide licence to store, copy, resize, format, publish and distribute your content on the Directory, in its search results, in the rotating "business spotlight" and town pages, in newsletters that feature the Directory, in social posts that link to your listing, and in machine-readable copies of the Directory (structured data, sitemaps and feeds) that search engines and AI assistants read. 7.3 The licence lasts while the listing is live, plus a short period afterwards for cached copies and backups to clear (normally 90 days). 7.4 You warrant that you own the content or have permission to use it, including the logo, photos, and the likeness of any person shown. You will reimburse us for any claim that your content infringes someone else's rights. 7.5 We may strip location data (EXIF) from photos before publishing.
8. Blog posts and testimonials
8.1 Blog posts must be about your business, its work, its products or its community activity. We review posts before they go live and may decline or edit for length, clarity, legality or house style. 8.2 Testimonials must come from real customers who agreed to be quoted. Keep the customer's permission (a message or email is enough) for as long as the testimonial is live. We may ask to see it. 8.3 Do not post testimonials you wrote yourself, bought, or generated with AI and presented as real. Do not offer payment or rewards for testimonials. 8.4 You are the author and publisher of your blog posts and testimonials. You are responsible for their truth and for any claim about a third party. 8.5 We may add a "customer testimonial supplied by the business" label and the date.
9. Charity and community section
9.1 Only list charities and community projects you are genuinely involved in, with the organisation's permission to name it. 9.2 Give a real contact person for the project so that people can join or help. 9.3 If a charity is registered (NPO or PBO number), you may give the number; we may check it against public registers. 9.4 Do not collect money through the Directory. The section is for information and invitations only.
10. Acceptable use
You may not use the Directory to: list a business you are not authorised to represent; publish content that is unlawful, defamatory, discriminatory, misleading or infringes anyone's rights; run a prohibited or unlicensed trade; harvest other businesses' contact details for marketing; scrape the Directory; or interfere with its operation.
11. Third-party services
11.1 Google: if you link your Google Business Profile, we show a link to it and may show your Google rating and a "review us on Google" button. Google's own terms govern that data. We store only your Place ID.
11.2 WhatsApp: the "Message on WhatsApp" and "Call on WhatsApp" buttons open WhatsApp on the visitor's device. We do not see those conversations. Calls and messages are between you and the visitor.
11.3 Maps: map tiles come from [OpenStreetMap / MapTiler / Google] and carry their attribution.
11.4 We are not responsible for those services, their availability or their charges.
12. Removal, suspension and closing
12.1 You may remove your listing at any time from your login or by emailing us. We remove it within 5 business days; cached copies may persist for up to 90 days. 12.2 We may suspend or remove a listing that breaks these terms, that we cannot verify, that is dormant (clause 6.3), or that is the subject of a valid take-down notice. We will tell you why unless the law prevents it. 12.3 We may close the Directory, or a town edition, on 60 days' notice. We will tell you how to download your content first.
13. Optional paid services
13.1 Paid options (for example a featured placement, a website, a phone system or a customer system) are offered under their own written terms with the price, VAT, term, cancellation rules and any renewal clearly stated. Nothing in these listing terms creates a fee. 13.2 Organic search order on the Directory is never changed by payment. Paid placements are marked "Featured". 13.3 Where the Consumer Protection Act applies and the sale resulted from direct marketing, you may cancel within 5 business days (section 16).
14. Complaints and take-down notices
14.1 Anyone who believes a listing, blog post or testimonial is unlawful or infringes their rights may send a take-down notice to [takedown@...] with the details required by section 77 of the ECT Act: their full name and address, the content and right concerned, the remedy sought, their contact details, a statement that they act in good faith and that the notice is true and correct, and their signature (electronic is fine).
14.2 We may remove or hide the content while we assess the notice and will tell the business that posted it. A knowingly false notice can make the sender liable.
14.3 Disputes between a business and a reviewer, customer or competitor are between those parties. We may remove content to end a dispute.
15. Disclaimers and liability
15.1 The Directory is an information service. We do not endorse any business, guarantee its work, or check every claim in a listing. 15.2 We provide the Directory "as is". We try to keep it available and backed up, but we do not promise it will be error-free or uninterrupted. 15.3 To the extent the law allows, we are not liable for any loss arising from the Directory, from a listing, or from contact between a visitor and a business. Nothing in these terms excludes liability that the Consumer Protection Act or other law does not allow us to exclude. 15.4 Where liability cannot be excluded, it is limited to R1,000 or the amount you paid us for the paid service concerned in the previous 12 months, whichever is higher.
16. Changes, law and disputes
16.1 We may change these terms. We will email the registered address at least 30 days before a change that affects you, and the quarterly update email will show the current version.
16.2 South African law applies. The courts of South Africa have jurisdiction. Before court, both of us will try to settle a dispute by discussion, and then by mediation in [Potchefstroom / Johannesburg].
16.3 If a clause is unenforceable, the rest stands.
Part C: Content and moderation policy (public page)
- Listings are written by the businesses themselves. We verify that the person registering can act for the business; we do not verify every claim.
- "Last confirmed" date: every listing shows when the business last confirmed its details.
- Blog posts are reviewed before publishing. We decline posts that are not about the business, that attack competitors or people, or that make health, financial or legal claims we cannot check.
- Testimonials are supplied by the business from real customers who agreed to be quoted. They are labelled as such. We remove any testimonial on request from the person quoted.
- Charity sections appear only when a business lists a project. We may ask for a contact person at the project.
- Reporting: anyone may report a listing from the "Report a problem" link. Rights holders use the take-down process in clause 14.
- No pay-to-rank: payment never changes the order of organic results. Featured placements are labelled.
- Not affiliated: the Directory is a private service by NexysCloud. It is not run by, or affiliated with, any municipality, CIPC, SARS or government body.
